1. Acceptance of Terms

By accessing and using the website located at thenovalab.com (the “Website”), or by engaging Novalab L.L.C (“Novalab,” “we,” “us,” or “our”) for any of its services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions (the “Terms”). If you do not agree to these Terms, you must discontinue use of the Website and refrain from entering into any service agreement with Novalab.

These Terms apply to all visitors, users, clients, and any other persons who access or use the Website or engage Novalab’s services in any capacity. Access to and use of the Website constitutes your acceptance of these Terms in their entirety.


2. Services

Novalab L.L.C is a search engine optimization agency specializing in SaaS and B2B technology companies. The services provided by Novalab include, but are not limited to, technical SEO audits, on-page optimization, content strategy and production, link acquisition, programmatic SEO, local SEO, and SEO consulting and reporting.

The specific scope of services, deliverables, timelines, and pricing for any individual engagement are defined in a separate Service Agreement, Statement of Work, or Proposal document provided to the client prior to the commencement of services. In the event of any conflict between these Terms and a specific Service Agreement, the terms of the Service Agreement shall prevail with respect to the particular engagement.

Novalab reserves the right to modify, suspend, or discontinue any aspect of its services at any time, with reasonable notice provided to existing clients where applicable.


3. Client Responsibilities

Clients engaging Novalab for SEO services agree to fulfill certain responsibilities that are necessary for the effective delivery of services. These responsibilities include providing timely access to the website, CMS, Google Search Console, Google Analytics, and any other platforms required for the execution of the agreed scope of work. Delays caused by the client’s failure to provide necessary access or information may impact delivery timelines and Novalab bears no liability for delays arising from such circumstances.

Clients are responsible for ensuring that all content, materials, assets, and information provided to Novalab are accurate, lawful, and do not infringe upon the intellectual property rights of any third party. By providing such materials, the client grants Novalab a limited license to use them solely for the purpose of delivering the agreed services.

Clients are also responsible for implementing technical recommendations provided by Novalab in a timely manner. Novalab cannot guarantee specific outcomes where recommended technical changes are not implemented by the client’s development team or platform administrator.


4. Payment Terms

Payment obligations for Novalab’s services are governed by the terms outlined in the applicable Service Agreement or Invoice. Unless otherwise agreed in writing, the following general payment terms apply.

Invoices are issued on a monthly basis for ongoing retainer engagements and must be settled within fourteen (14) calendar days of the invoice date. For project-based engagements, payment schedules are defined in the corresponding Statement of Work. Novalab reserves the right to pause or suspend services in the event that an invoice remains unpaid beyond the agreed payment period, without prejudice to any other remedies available.

All fees quoted by Novalab are exclusive of any applicable taxes, duties, or levies unless explicitly stated otherwise. The client is responsible for any taxes applicable to the services in their jurisdiction.

Late payments may be subject to a late payment fee as specified in the applicable Service Agreement. Novalab reserves the right to recover reasonable costs incurred in the collection of overdue amounts.


5. Intellectual Property

All content, materials, tools, methodologies, processes, frameworks, and intellectual property created or developed by Novalab in connection with its services, and which do not incorporate client-provided materials, remain the property of Novalab L.L.C unless otherwise expressly agreed in writing.

Upon full payment of all fees due under an engagement, Novalab grants the client a non-exclusive, non-transferable license to use the deliverables produced specifically for that client, including content assets, keyword research, and technical documentation, solely for the client’s own business purposes.

Novalab’s Website, including all text, graphics, logos, images, software, and other materials published on it, is protected by applicable intellectual property laws. Unauthorized reproduction, distribution, or commercial use of any content from the Novalab Website is prohibited without prior written consent.


6. Confidentiality

Both parties acknowledge that during the course of an engagement, each may have access to confidential information belonging to the other party. Confidential information includes, but is not limited to, business strategies, financial data, client lists, technical systems, and proprietary methodologies.

Each party agrees to hold the other’s confidential information in strict confidence, to use it solely for the purpose of fulfilling obligations under the applicable Service Agreement, and not to disclose it to any third party without the prior written consent of the disclosing party. This obligation of confidentiality survives the termination of any service engagement for a period of two (2) years.

Novalab may reference a client’s name and describe the nature of the services provided in its portfolio, case studies, or marketing materials unless the client has expressly requested otherwise in writing prior to the commencement of services.


7. Disclaimers and Limitation of Liability

Novalab L.L.C provides SEO services based on current industry best practices, data-driven methodologies, and professional expertise. However, SEO outcomes are influenced by numerous factors outside of Novalab’s direct control, including but not limited to changes to search engine algorithms, changes to the client’s website made independently of Novalab, competitive market dynamics, and platform-level decisions by search engines and AI platforms.

Novalab does not guarantee specific ranking positions, traffic volumes, or revenue outcomes as a result of its services. Any projections or estimates provided are based on available data and professional judgment and do not constitute a contractual commitment to specific results.

To the fullest extent permitted by applicable law, Novalab’s total liability to a client arising out of or in connection with the services shall not exceed the total fees paid by that client to Novalab in the three (3) months immediately preceding the event giving rise to the claim. Novalab shall not be liable for any indirect, incidental, consequential, or punitive damages, including loss of profit, loss of revenue, or loss of business opportunity, arising in connection with the services or these Terms.


8. Website Use and Conduct

The Novalab Website is provided for informational purposes. Users of the Website agree not to engage in any conduct that is unlawful, harmful, abusive, or disruptive, or that interferes with the operation of the Website or the experience of other users. Automated scraping, data harvesting, or unauthorized use of any tools or content on the Website is prohibited.

Novalab makes reasonable efforts to ensure the Website is available and functioning correctly but does not warrant that the Website will be uninterrupted, error-free, or free from viruses or other harmful components. Access to the Website may be suspended temporarily for maintenance, updates, or reasons beyond Novalab’s control, and Novalab accepts no liability for any resulting inconvenience or loss.

Links to third-party websites may appear on the Novalab Website. These links are provided for convenience only. Novalab does not endorse, control, or accept responsibility for the content or practices of any third-party website, and access to such websites is at the user’s own risk.


9. Termination

Either party may terminate a service engagement in accordance with the termination provisions set out in the applicable Service Agreement. In the absence of specific termination provisions, either party may terminate an ongoing engagement by providing thirty (30) days written notice to the other party.

Upon termination, the client is responsible for settling all outstanding invoices for services rendered up to and including the termination date. Novalab will provide the client with all deliverables completed and paid for as of the termination date.

Novalab reserves the right to terminate its engagement with a client immediately and without notice in the event of a material breach of these Terms or the applicable Service Agreement, or in the event that a client’s conduct is found to be harmful to Novalab’s reputation, operations, or staff.


10. Governing Law and Dispute Resolution

These Terms and any disputes arising out of or in connection with them or any service engagement shall be governed by and construed in accordance with the laws of the Republic of Kosovo. Both parties agree to submit to the exclusive jurisdiction of the competent courts of Pristina, Kosovo for the resolution of any disputes that cannot be resolved amicably.

In the event of a dispute, both parties agree to first attempt resolution through good-faith negotiation for a period of thirty (30) days before initiating any formal legal proceedings.


11. Privacy

The collection and processing of personal data by Novalab in connection with the Website and its services is governed by Novalab’s Privacy Policy, available at thenovalab.com/privacy-policy/. By using the Website or engaging Novalab’s services, you acknowledge and agree to the terms of the Privacy Policy, which forms part of these Terms by reference.


12. Amendments to These Terms

Novalab reserves the right to update or modify these Terms at any time. Changes will be published on this page with an updated effective date. Continued use of the Website or engagement of Novalab’s services following the publication of updated Terms constitutes acceptance of the revised Terms. Clients with active Service Agreements will be notified of material changes in writing.
